Definitions and explanations

Latest Tech Trends” refers to a customer who chooses to enter into a contract with the company for particular or enhanced services intended for commercial or business use and who is a company, limited liability partnership, sole proprietor, or which otherwise trades through the locations to which the Products and Services are supplied.

“Confidential Information” is any information that has been designated as such by the disclosing party in writing, as well as all other information relating to the business affairs, finances, products, data, software programs, specifications, documentation, software listings, source or object code, developments, pricing terms, trade secrets, know-how, personnel, customers, and suppliers of the other party, as well as all information that may reasonably be regarded as the confidential or proprietary information of that party.

ORDERS FOR SERVICES

All orders are approved pending the availability of the Products, the installation survey required to determine installation needs to the property, the Company’s capacity to supply Services to the location specified by the Customer on the Service Order, and these Terms and Conditions.

The Company shall provide the Products and Services described on the Service Order, and the Customer shall acquire such Products and Services by these Conditions and Conditions, which shall control the contract to the exclusion of any other terms on which the Customer tries to rely. Unless specifically agreed to in writing by the Company’s authorized representatives, no amendment to these terms and Conditions by the Customer shall be binding.

Unless specifically authorized in writing by the Company, none of the Company’s employees or agents are permitted to make any claims about the Products/Services. No provision of these Terms and Conditions affects any party’s liability for fraudulent misrepresentation, and the customer acknowledges that it did not rely on any such assertions in entering into the contract that has not been so confirmed.

BUSINESS OBLIGATIONS

The Company shall provide the Products and Services as specified in the Service Order in compliance with the Product Terms and these Terms and Conditions.

The Company will configure and install items in line with the rates listed on the Service Order, according to the specifications given by the Customer.

Installation must be done where the Company determines is most accessible. The Company reserves the right to charge for implementing changes at rates periodically communicated to the Customer if the Customer modifies the specifications for such installation/configuration.

The Company shall do the installation or configuration with reasonable care and skill, and it will do so promptly. Times given by the company are simply estimates, and failure to fulfill delivery dates will not entitle you to cancel your order or seek compensation.

Delivery shall be made to the address and access point identified on the Service Order. If the customer requests that the company delay or divide delivery, the company may incur additional costs; the customer will be informed of these charges, will be given an invoice, and will be responsible for paying them. The Company must consent to the Customer’s suspension of delivery in writing, and all associated charges must be paid by the Customer at this time. For certain installations, the Company may be dependent on outside suppliers and in some situations will need planning approvals, wayleaves, or right-of-ways. Without the Company’s prior written consent, delays resulting from these sources prevent the Customer from canceling or amending the Service Order. The Company disclaims responsibility for any losses of any type the Customer may sustain as a result of such delays.

OBLIGATIONS OF THE CUSTOMER

Beyond the Service Demarcation Point, the Customer is in charge of the setup, operation, maintenance, and use of the Service.

According to the Service Order Form or any applicable Product Terms, the Customer is responsible for creating, maintaining, and taking care of an environment that is appropriate for the delivery of the Services. For the avoidance of doubt, this also includes the availability of sufficient and reliable electrical power as needed by the Products or Services.

The customer consents to follow the company’s acceptable use policy.

OBLIGATIONS OF THE CUSTOMER

Beyond the Service Demarcation Point, the Customer is in charge of the setup, operation, maintenance, and use of the Service.

The provision, upkeep, and maintenance of an environment appropriate for the provision of the Services, as specified in the Service Order Form or any applicable Product Terms, are the Customer’s responsibility. For the avoidance of doubt, this also includes the availability of sufficient and reliable electrical power as needed by the Products or Services.

The customer consents to follow the company’s acceptable use policy.
